Thrivez Affiliate Program Terms and Conditions

As an authorised affiliate (“Affiliate”) of Thrivez, you agree to be bound by the terms and conditions set out in this Affiliate Program Terms and Conditions agreement (“Agreement”). Please read this Agreement carefully before applying to or participating in the Thrivez Affiliate Program (“Program”).

Your participation in the Program is solely for the purpose of legally promoting Thrivez.io and earning commission on eligible memberships, subscriptions, products, or services purchased by users referred to Thrivez through your website, content, marketing channels, or personal referrals.

By signing up for the Thrivez Affiliate Program, you acknowledge that you have read, understood, and agree to this Agreement.

1. Approval or Rejection of Application

We reserve the right to approve or reject any affiliate application at our sole discretion.

You understand and agree that we may reject your application for any reason, including where we believe your website, content, traffic sources, promotional methods, or business practices are not suitable for the Program.

You will have no claim, recourse, or cause of action against us in relation to the rejection of your application.

2. Commissions

Commissions are paid once per month, subject to eligibility, successful tracking, and compliance with this Agreement.

Affiliates will earn a commission of 2% of the eligible order total on the first completed order only made by a new customer validly referred to Thrivez.

For the purposes of commission calculations, the eligible order total means the order total excluding taxes, shipping charges, refunds, credits, discounts, promotional reductions, and other non-commissionable amounts.

No commission is payable on:

• repeat orders placed by the same referred customer after their first completed order;
• orders that are cancelled, refunded, reversed, charged back, disputed, or identified as fraudulent or invalid;
• self-referred purchases, subscriptions, or transactions.

For an Affiliate to receive a commission:

• the referred customer must be a genuine new customer to Thrivez;
• the referred account must remain active for a minimum of 31 days;
• the first order must be successfully completed and fully paid;
• the referral must be properly tracked and attributed under our tracking system.

You may not refer yourself, and you will not receive commission on your own accounts, purchases, subscriptions, or transactions.

We reserve the right to withhold, decline, reverse, or adjust commissions where we reasonably believe a transaction is invalid, fraudulent, self-referred, duplicate, improperly attributed, incentivised in breach of this Agreement, or otherwise non-compliant.

3. Payment

Affiliate payments will only be made for valid commissions that have been properly tracked, approved, and cleared under our internal review procedures.

A minimum payout threshold of $25 USD applies. No payment will be issued unless your approved commission balance has reached or exceeded this threshold.

Payments may be withheld where:

• the minimum payout threshold has not been met;
• required payment details have not been provided;
• the account is under investigation for fraud, abuse, or breach of this Agreement;
• the related customer payment has not fully cleared;
• a transaction is later refunded, reversed, disputed, or charged back.

You are responsible for ensuring that your payment and tax information is accurate and up to date.

4. Affiliate Responsibilities

As an Affiliate, you agree to promote Thrivez lawfully, honestly, and in a way that does not damage our reputation, mislead users, or breach applicable laws or advertising rules.

You are responsible for ensuring that:

• your promotional content is truthful and not misleading;
• you do not make false claims about Thrivez, our products, services, pricing, earnings, or opportunities;
• you clearly disclose your affiliate relationship where required by law or advertising guidance;
• your marketing activities comply with all applicable laws, regulations, platform rules, and industry guidance.

5. Termination

Your affiliate application, participation in the Program, and affiliate status may be suspended or terminated at any time, with or without notice, for any reason we consider appropriate.

Grounds for suspension or termination include, without limitation:

• inappropriate advertising, including false claims, misleading statements, misleading links, or deceptive content;
• spam, including mass email, unsolicited messaging, or mass posting;
• advertising on websites or platforms containing unlawful, harmful, offensive, or infringing content;
• failure to disclose the affiliate relationship where required by applicable advertising or consumer protection laws;
• violation of our intellectual property rights;
• use of Thrivez trademarks, branding, or assets in a way that misleads, infringes, or creates confusion;
• offering rebates, coupons, cashback sharing, kick-backs, or other commission-sharing incentives unless expressly authorised by us in writing;
• self-referrals;
• fraudulent, deceptive, suspicious, or invalid transactions;
• suspected affiliate fraud or abuse;
• breach of this Agreement or any other policy we apply to the Program.

We also reserve the right to terminate any affiliate account at any time, with or without cause.

On termination, you must immediately cease representing yourself as a Thrivez affiliate and stop using all affiliate links, branding, and promotional materials relating to the Program.

6. Affiliate Links and Promotion

You may use graphic and text links on your website, in your content, and in your email communications, subject to this Agreement and applicable law.

You may also advertise Thrivez in lawful online and offline channels, including websites, blogs, social media, newsletters, classified listings, magazines, and newspapers, provided your methods are not misleading, deceptive, or otherwise prohibited.

You may use the graphics and promotional materials supplied by us, or create your own materials, provided they:

• are accurate and appropriate;
• do not misrepresent Thrivez or our offerings;
• do not violate this Agreement;
• do not infringe our intellectual property rights.

We reserve the right to require you to modify or remove any promotional content at any time.

7. Coupon and Deal Sites

Thrivez may occasionally provide coupons, discount codes, or promotional offers to selected affiliates or directly to subscribers or customers.

Unless you have been specifically authorised by us in writing to promote a coupon or deal, you may not promote it.

The following rules apply to affiliates promoting Thrivez offers in connection with deal, discount, or coupon-related content:

• you may not use misleading text on affiliate links, buttons, or images to suggest that any coupon, discount, or deal exists unless it is currently valid and authorised for your use;
• you may not imply that unauthorised coupons or savings are available;
• you may not use language that misleads users into clicking where no real deal or coupon exists;
• you may not use pop-ups, pop-unders, iframes, frames, auto-redirects, forced clicks, invisible actions, or similar methods that set affiliate cookies without the user’s clear and explicit action;
• users must be able to see the relevant deal, coupon, or savings information before any affiliate cookie is set;
• pages must not use wording such as “click here to see deal” or “click here for coupon” where no actual deal or coupon is available.

Any affiliate found breaching this section may be removed from the Program immediately and may forfeit unpaid commissions.

8. Pay Per Click (PPC) Policy

Pay Per Click advertising, including bidding on search terms, brand terms, trademark terms, or variations of our brand name, is not permitted without our prior written permission.

Without limitation, you may not bid on:

• Thrivez;
• Thrivez.io;
• Thrivez coupons;
• Thrivez discount;
• Thrivez promo code;
• any misspelling, variation, or confusingly similar version of our brand or domain,

unless we have expressly authorised this in writing.

9. Prohibited Conduct

You must not engage in any conduct that interferes with the integrity of the Program or misleads users, advertisers, or Thrivez.

Prohibited conduct includes, without limitation:

• self-referrals;
• use of fake leads, fake sign-ups, fake clicks, or fake purchases;
• cookie stuffing;
• use of bots, scripts, automation, or artificial traffic;
• domain spoofing or impersonation;
• misleading users into believing you are Thrivez or that you are officially endorsed beyond your affiliate relationship;
• trademark infringement;
• unauthorised paid search activity;
• use of adware, spyware, malware, or forced redirects;
• any unlawful or deceptive marketing practice.

Any such conduct may result in immediate suspension or termination and forfeiture of unpaid commissions.

10. Intellectual Property

Thrivez retains all rights, title, and interest in its name, website, trademarks, logos, branding, content, and promotional materials.

You may not use our intellectual property except as expressly permitted under this Agreement or otherwise authorised by us in writing.

We reserve the right to require licence agreements or additional permissions for any use of our trademarks, brand assets, or copyrighted materials.

11. Liability

Thrivez will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, commissions, business opportunities, data, or goodwill, arising in connection with this Agreement, the Program, or your participation in it.

We make no express or implied warranties with respect to the Program, Thrivez.io, or any memberships, subscriptions, services, or products sold through the website.

We do not guarantee that:

• affiliate tracking will always function correctly;
• the Program will be uninterrupted or error-free;
• the website will always be available;
• any particular volume of commissions, referrals, or conversions will be achieved.

We are not liable for interruptions, tracking failures, data loss, technical issues, third-party platform failures, or other errors affecting the Program.

12. Term of the Agreement

This Agreement begins when your application to the Program is accepted and continues until terminated by either party.

We may modify this Agreement at any time. If any change is unacceptable to you, your only remedy is to terminate your participation in the Program.

Your continued participation in the Program after any update or modification constitutes your acceptance of the revised Agreement.

13. Indemnification

You agree to indemnify, defend, and hold harmless Thrivez, Thrivez Limited, and their affiliates, subsidiaries, officers, directors, employees, contractors, agents, licensees, successors, and assigns from and against any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses, including reasonable legal fees, arising out of or related to:

• your breach of this Agreement;
• your negligence;
• your misrepresentation;
• your failure to make required disclosures;
• your infringement of intellectual property or other rights;
• your unlawful, deceptive, or improper promotional activities;
• your intentional misconduct.

14. Electronic Acceptance

This Agreement is an electronic contract that sets out the legally binding terms of your participation in the Thrivez Affiliate Program.

You indicate your acceptance of this Agreement by completing the affiliate application process, registering for the Program, or participating in the Program in any way.

This electronic acceptance has the same legal force and effect as a handwritten signature.

15. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless applicable law requires otherwise.
